Terms of service

1. Acceptance of Terms

By installing, accessing, or using Variant Stock Sync (the « App »), you (« Merchant », « you », or « your ») agree to be bound by these Terms of Service (« Terms »). If you do not agree, do not install or use the App.

These Terms constitute a legally binding agreement between you and Topicimes (« Company », « we », « us », or « our »). Your continued use of the App after any modifications to these Terms constitutes acceptance of such modifications.

2. Description of Service

Variant Stock Sync is a Shopify embedded application that synchronizes inventory and stock levels across product variants within your Shopify store. The App provides the following features, depending on your subscription plan:

  • Real-time webhook-based inventory synchronization
  • Scheduled (cron-based) synchronization for third-party logistics (3PL) workflows
  • Location-based inventory filtering
  • AI-powered automatic detection of variant mappings
  • Email-based customer support

Feature availability varies by plan. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Account and Access

The App is accessed exclusively through the Shopify App Store and your Shopify admin panel. Authentication is handled via Shopify OAuth. You are responsible for maintaining the security of your Shopify account credentials.

By installing the App, you authorize us to access your Shopify store data as required to provide the Service, including but not limited to products, variants, inventory levels, and locations.

You represent and warrant that you have the authority to bind the entity on whose behalf you are using the App to these Terms.

4. Plans, Pricing, and Billing

The App offers the following subscription plans:

  • Free ($0/month): Up to 3 synced products, real-time webhook synchronization.
  • Pro ($9.99/month): Up to 50 synced products, real-time webhook synchronization, email support.
  • Business ($29.99/month): Unlimited synced products, real-time webhook synchronization, scheduled synchronization (3PL), location filtering, AI auto-detection, email support.

All paid subscriptions are billed through Shopify recurring application charges. By subscribing to a paid plan, you authorize Shopify to charge your account on a recurring monthly basis. Prices are in USD and are subject to change with at least 30 days’ prior notice.

You may upgrade, downgrade, or cancel your subscription at any time through the App. Changes take effect at the beginning of the next billing cycle. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree to use the App only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:

  • Use the App in any manner that could damage, disable, or impair our infrastructure.
  • Attempt to gain unauthorized access to any part of the App or its related systems.
  • Use the App to transmit malicious code, spam, or any harmful content.
  • Reverse engineer, decompile, or disassemble the App or any part thereof.
  • Resell, sublicense, or redistribute the App or access thereto without our prior written consent.
  • Exceed the product limits of your subscription plan through any automated or manual means.

6. Intellectual Property

The App, including its source code, design, features, documentation, and all related intellectual property, is and shall remain the exclusive property of Topicimes. These Terms do not grant you any ownership rights in the App.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App solely in connection with your Shopify store and in accordance with these Terms.

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy, available at https://topicimes.pro/variant-stock-sync/privacy-policy. The Privacy Policy describes how we collect, use, and protect your data.

By using the App, you acknowledge and consent to the data practices described in the Privacy Policy. The App accesses your Shopify store data (including products, variants, inventory levels, and locations) solely for the purpose of providing the synchronization service.

We do not sell your data to third parties. Data retention and deletion practices are detailed in our Privacy Policy.

8. Third-Party Services

The App integrates with the following third-party services:

  • Shopify: The App operates within the Shopify platform and relies on the Shopify API. Your use of Shopify is governed by Shopify’s own terms of service.
  • Anthropic (Claude AI): The AI auto-detection feature uses Anthropic’s API to analyze and suggest variant mappings. When you use this feature, relevant product data may be transmitted to Anthropic for processing. Anthropic’s use of such data is governed by Anthropic’s privacy policy and terms of service.

We are not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms.

9. Disclaimer of Warranties

THE APP IS PROVIDED « AS IS » AND « AS AVAILABLE » WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy or reliability of inventory synchronization results. You are solely responsible for verifying that your inventory data is correct.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOPICIMES, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Topicimes and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you provide through the App.

12. Termination

Either party may terminate these Terms at any time. You may terminate by uninstalling the App from your Shopify store. We may terminate or suspend your access to the App immediately, without prior notice, if you breach these Terms or if we discontinue the App.

Upon termination, your right to use the App ceases immediately. We may delete your data in accordance with our Privacy Policy. Sections 6, 9, 10, 11, and 14 shall survive termination.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App interface or via email at least 30 days before they take effect. Your continued use of the App after the effective date of any modifications constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must uninstall the App before the changes take effect.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.
